With over 30 years of experience as both an attorney and financier, I provide guidance to companies on a wide range of real estate transactions. My work encompasses forming legal entities, creating joint ventures, managing property acquisitions and sales, conducting due diligence, addressing land use planning and entitlements, ensuring environmental compliance, and navigating secured and unsecured financing. I am also knowledgeable in landlord-tenant matters, construction contracts, arbitration, and litigation. I focus on transactions and have handled an extensive variety of commercial contracts. My responsibilities include reviewing, drafting, and negotiating agreements such as joint ventures, development and construction contracts, public utility agreements, vendor and service contracts, operation and maintenance agreements, real estate leases, and financing loan agreements. I work closely with business leaders and legal counsel on large-scale real estate development projects to review legal issues and facilitate the successful completion of transactions. My experience extends to domestic and international real estate financing practices, where I assist with deal structuring and due diligence. This includes reviewing contracts, evaluating property rights, identifying required consents and notices, negotiating closing documents, and overseeing closings. I am also proficient in banking and financing matters, such as negotiating documentation for secured and unsecured lending, project financing, operating credit lines secured by collateralized assets, and municipal financing for infrastructure projects. As a trusted advisor, negotiator, and mediator, I am skilled in resolving disputes and fostering agreements among diverse parties. My goal is to achieve resolution without resorting to litigation.
