Louis A. Russo is the founder of Russo Law LLC, a business law firm serving entrepreneurs, executives, and companies throughout New York and New Jersey. With nearly twenty years of legal experience — including formative years at three of the most respected firms in the country, Proskauer Rose, Winston & Strawn, and Alston & Bird — Lou built his practice on a straightforward premise: small and mid-sized businesses deserve the same quality of legal counsel that Fortune 500 companies take for granted, without the overhead or inefficiency that comes with it. Lou's practice covers three core areas. On the transactional side, he negotiates and drafts the contracts that govern how businesses operate — from NDAs and operating agreements to master services agreements, distribution contracts, commercial leases, software licenses, and equity compensation arrangements. He also guides business owners through the full arc of buying and selling a business, coordinating due diligence, purchase agreements, and the professional team needed to close the deal. When business relationships break down, Lou steps in to resolve them. He handles breach of contract disputes, business divorce, commercial fraud, tortious interference, and corporate governance conflicts through negotiation, mediation, AAA and FINRA arbitration, and litigation in state and federal court. His goal is always to find a resolution before litigation becomes necessary — and to litigate efficiently when it does. For clients who want a lawyer in their corner on an ongoing basis, Lou serves as outside general counsel, providing day-to-day legal support, contract oversight, and compliance management at a predictable monthly cost. Beyond his client work, Lou serves as a neutral arbitrator for the American Arbitration Association and FINRA, and previously taught commercial arbitration as an adjunct law professor.
