I am the founding partner of Kesse PLLC, a corporate law firm. Prior to founding Kesse PLLC, I worked at the biggest law firms in the country. My practice focuses on securities, capital markets, SEC reporting, emerging companies and startups, and general corporate law. I regularly advise clients on public and private securities offerings and financings, including U.S.-Canadian cross-border offerings and other foreign private issuer offerings. I assist clients with IPOs, Regulation A+ offerings, direct listings, follow-on/secondary offerings, private placements, crowdfunding, private company financings, pre-IPO counseling, SPAC formations, IPOs and business combinations (deSPACs), tender offers, emerging company and startup financings, SEC reporting and compliance and stock exchange listing and compliance. My representative transactions include the following: Represented a Nasdaq-listed commercial-stage biotech company in its $345 million IPO, a $244 million follow on offering, and SEC periodic reporting. Represented a Nasdaq-listed developer of a wearable, non-invasive continuous glucose monitor in its IPO. Representing a Nasdaq-listed clinical-stage biopharmaceutical company in its $350 million follow-on public offering. Represented a Nasdaq-listed molecular diagnostics company in its purchase of a private company for approximately $2.15 billion. Represented a biopharmaceutical company in its $5.35 billion business combination. Represented a Nasdaq-listed clinical stage immuno-oncology company in its $2.26 billion acquisition by a public company. Represented a Nasdaq-listed late-stage clinical company in its “At-the-Market” offering and SEC periodic filings. Represented an NYSE-listed life sciences company focused on biopsy diagnostics for the early detection of cancer in its $40.25 million follow-on offering. Represented a biotechnology company in its direct listing.
