Kourosh Azin

I am an attorney in the Corporate Group at Jeffer Mangels Butler & Mitchell LLP, where I provide guidance on a variety of corporate matters, including mergers and acquisitions, private equity transactions, and general corporate governance. My experience includes representing private equity firms and strategic buyers in complex buy-side and sell-side transactions, ranging from early-stage investments to multibillion-dollar acquisitions. I often lead diligence efforts, negotiate transaction documents, and coordinate cross-functional legal teams to help clients achieve their business goals. Before joining JMBM, I practiced at prominent international law firms, including Goodwin Procter LLP and Sidley Austin LLP. During that time, I advised clients on buy-side and sell-side transactions valued between $10 million and $3 billion. My work encompassed asset and stock purchase acquisitions, strategic mergers, growth equity investments, and search fund transactions. I frequently led diligence workstreams, negotiated transaction documents, and handled general corporate governance matters, such as drafting NDAs and transaction documents like purchase agreements and disclosure schedules. I am known for being responsive, precise, and efficient. I approach every transaction with a collaborative, solutions-focused mindset, which helps me build trust with clients and maintain constructive relationships with counterparties. Whether working on complex transactions or routine corporate matters, I strive to deliver practical, results-oriented legal advice across a wide range of industries. I am fluent in Spanish and Farsi. When I’m not in the office, I enjoy snowboarding, practicing yoga and mindfulness, and spending time with my King Charles Cavalier-Poodle mix, Chai Latte Frappuccino III.
